This User Agreement ("Agreement") is entered into between Vault Finance LLC, a Colorado limited liability company ("Vault Finance", "we", "us", or "our"), and you ("User", "you", or "your") regarding your use of the Vault Finance platform and related services (the "Platform").

BY ACCESSING OR USING THE PLATFORM, YOU AGREE TO BE BOUND BY THIS AGREEMENT. IF YOU DO NOT AGREE TO THESE TERMS, DO NOT USE THE PLATFORM

1. DEFINITIONS
   • Borrowers: means business owners or entities seeking commercial financing, investment, or merger and acquisition opportunities.
   • Lenders: means financial institutions, banks, credit unions, private lenders, or other entities that provide commercial financing.
   • Brokers: means users who facilitate connections between Borrowers and Lenders, typically having existing relationships with Lenders.
   • Platform: means Vault Finance's technology platform, including website, mobile applications, and related services.
   • Matching: Services means the algorithmic and manual processes by which we connect Borrowers with potential Lenders or Brokers.
     
2. PLATFORM DESCRIPTION AND SERVICES
   1. Nature of Service: 
      Vault Finance operates a technology platform that facilitates connections between commercial Borrowers, Lenders, and Brokers. We are NOT a lender, bank, credit repair service, or financial advisor. We do not make credit decisions, approve or deny loan applications, or guarantee funding.
   2. Core Services
      • Matching Services: Connecting Borrowers with potential Lenders and Brokers based on provided information, creating a database of lenders and investors.
      • CRM Tools: Customer relationship management functionality for Lenders and Brokers.
      • Information Platform: Providing a centralized location for users to share and access relevant business and financial information.
      • Network Building: Creating a resource network for businesses seeking various forms of funding.
   3. Future Services
      We reserve the right to expand our services to include additional funding resources, investment opportunities, and merger and acquisition facilitation.
      
3. USER CATEGORIES AND RESPONSIBILITIES
   1. Borrowers/Business Owners
      1. Eligibility: You represent that you are:
         • At least 18 years old and legally authorized to enter contracts
         • A legitimate business owner or authorized representative
         • Seeking commercial (not personal/consumer) financing.
           
      2. Information Requirements: You agree to provide accurate, complete, and current information including:
         • Business details and project information
         • Financial information (credit scores, net worth, liquidity, income)
         • Any other information reasonably requested for matching purposes.
           
      3. Responsibilities: You agree to:
         • Maintain the accuracy of your profile information
         • Respond promptly to communications from potential Lenders or Brokers
         • Conduct due diligence on any potential financing partners
         • Comply with all applicable laws and regulations.
           
   2. Lenders/Banks
      1. Eligibility: You represent that you are:
         • A licensed financial institution or authorized lending entity
         • In compliance with all applicable lending laws and regulations
         • Authorized to engage in commercial lending activities.
           
      2. Information Requirements: You may provide:
         • Details about your lending criteria and preferences
         • Client information for CRM purposes (with appropriate consents)
         • Loan products and terms you offer.
           
      3. Responsibilities: You agree to:
         • Maintain all necessary licenses and regulatory compliance
         • Protect confidential borrower information
         • Make independent credit and lending decisions
         • Comply with fair lending and anti-discrimination laws.
           
   3. Brokers
      1. Eligibility: You represent that you are:
         • Have legitimate relationships with Lenders
         • Are authorized to act as an intermediary in commercial financing
         • Comply with all applicable broker licensing requirements
           
      2. Responsibilities: You agree to:
         • Disclose your role as a broker to all parties
         • Maintain appropriate licenses where required
         • Act in good faith in all transactions
         • Protect confidential information of all parties
           

4. PROHIBITED USES

   You may not use the Platform to:

   • Provide false, misleading, or fraudulent information
   • Engage in any form of money laundering or illegal financial activity
   • Violate any applicable laws or regulations
   • Spam, harass, or abuse other users
   • Attempt to circumvent Platform security measures
   • Use the Platform for personal/consumer lending (commercial use only)
   • Solicit users for competing services
     

5. DISCLAIMERS AND LIMITATIONS OF LIABILITY

   WE ARE NOT A LENDER, BANK, OR FINANCIAL ADVISOR.

   • Make lending decisions or approve/deny applications
   • Provide financial advice or recommendations
   • Guarantee funding or successful matches
   • Verify the accuracy of user-provided information
   • Endorse any particular Lender, Borrower, or Broker.
     
6. DATA PRIVACY AND SECURITY
   1. Information Collection
      We collect information you provide directly and through your use of the Platform, as detailed in our Privacy Policy.
      
   2. Information Use
      • We use collected information to:
      • Facilitate matching between users
      • Operate and improve the Platform
      • Comply with legal obligations
      • Communicate with users
        
   3. Information Sharing
      • We may share information:
      • Between matched users as part of our services
      • With service providers supporting Platform operations
      • As required by law or legal process
      • In connection with business transfers
        
   4. Data Security
      While we implement reasonable security measures, we cannot guarantee absolute security of your information.
      
7. INTELLECTUAL PROPERTY
   1. Platform Content
      All Platform content, features, and functionality are owned by Vault Finance and protected by intellectual property laws.
   2. User Content
      You retain ownership of information you provide but grant us a license to use it for Platform operations.
   3. Feedback
      Any feedback or suggestions you provide may be used by us without compensation or attribution.
      
8. FEES AND PAYMENTS
   1. Current Fee Structure
      The Platform is currently free during our proof-of-concept phase.
   2. Future Fee
      We reserve the right to implement fees with 30 days' advance notice. Continued use after fee implementation constitutes acceptance.
   3. Payment Terms
      If fees are implemented, they will be charged according to the fee schedule provided at that time.
      
9. TERMINATION
   1. Termination by You
      You may terminate your account at any time by contacting support or using account deletion features.
   2. Termination by Us
      • We may suspend or terminate accounts for:
      • Violation of this Agreement
      • Fraudulent or illegal activity
      • Abuse of the Platform or other users
      • Any reason with 30 days' notice
   3. Effect of Termination
      Upon termination, your access rights cease, but certain provisions survive, including disclaimers, limitations of liability, and dispute resolution.
      
10. DISPUTE RESOLUTION
    1. Informal Resolution
       Before formal proceedings, parties agree to attempt good faith resolution through direct communication.
    2. Mediation
       If informal resolution fails, disputes will be submitted to mediation in Denver, Colorado.
    3. Arbitration
       If mediation is unsuccessful, disputes will be resolved through binding arbitration in Denver, Colorado, under American Arbitration Association Commercial Rules.
    4. Class Action Waiver
       You agree to resolve disputes individually and waive the right to participate in class actions.
       
11. REGULATORY COMPLIANCE
    1. User Compliance
       • Each user is responsible for compliance with applicable laws, including:
       • Banking and lending regulations
       • Securities laws
       • Anti-money laundering requirements
       • Fair lending laws
       • Consumer protection regulations
    2. Reporting Obligations
       Users must comply with all reporting and disclosure requirements applicable to their activities.
       
12. GENERAL PROVISIONS
    1. Governing Law
       This Agreement is governed by Colorado law, excluding conflict of law principles.
    2. Jurisdiction
       Colorado courts have exclusive jurisdiction over disputes not subject to arbitration.
    3. Modifications
       We may modify this Agreement with 30 days' notice. Continued use constitutes acceptance of modifications.
    4. Severability
       If any provision is unenforceable, the remainder remains in effect.
    5. Entire Agreement
       This Agreement, together with our Privacy Policy, constitutes the entire agreement between parties.
    6. Assignment
       We may assign this Agreement; you may not assign without our consent.
    7. Force Majeure
       Neither party is liable for performance delays due to circumstances beyond reasonable control.
